Code of Ethics 

We expect each Synopsys employee to exercise good judgment, to act ethically, and to comply with the letter and spirit of the law. We have memorialized this longstanding commitment to fair and ethical business practices in our Code of Ethics and Business Conduct.

On September 1, 2011, the Board of Directors of Synopsys amended the Code of Ethics and Business Conduct (“Code”) to reflect the following changes:

  • Adding a new example to the list of potential conflict-of-interest situations that covers providing industry information about Synopsys to a third party for payment, such as employment with an “expert network” or as a technology consultant.
  • Revising the policy on foreign corrupt practices to prohibit facilitating payments, in light of the requirements of the recently enacted UK Bribery Act.
  • Broadening the scope of the policy on foreign corrupt practices beyond the provision of gifts, meals, and entertainment to include all interactions with government officials.
  • Adding an exception to the policy on foreign corrupt practices for payments made to protect employees against imminent threats to their health and safety.
  • Changing the title of Synopsys’ ethics officer from “Ethics Officer” to "Chief Ethics Officer."
